All steel companies of the Tata group merged into Tata Steel

The Board of Directors of the Tata Group approved the merger of all steel companies of the Tata Group into Tata Steel. The board of directors of the company at its meeting on Thursday approved the merger of seven steel companies with the parent steel company Tata Steel Limited. The seven steel companies of the Tata group that will be merged with Tata Steel are Tata Steel Long Products Limited, The Tinplate Company of India Limited, Tata Metaliks Limited, TRF Limited, The Indian Steel & Wire Products Limited, Tata Steel Mining Limited and S&T Mining Company Limited.

The Tata Group informed the Indian Stock Exchanges of the decision and advised that the company's Board of Directors (the "Board") at its meeting held on September 22, 2022, inter alia, reviewed and approved the following Seven (7) Merger Schemes. from:

1] Tata Steel Long Products Limited (“TSLP-Transmission Company”) to parent company Tata Steel Limited (“Transmission Company”);

2] The Tinplate Company of India Limited (“TCIL-Transmission Company”) to its parent company Tata Steel Limited (“Transmission Company”);

3] Tata Metaliks Limited (“TML-Transmission Company”) to its parent company Tata Steel Limited (“Transmission Company”);

4] TRF Limited (“TRF-Transmission Company”) to Tata Steel Limited (“Transmission Company”);

5] Indian Steel and Wire Products Limited (“Transfer Company”) with its parent company Tata Steel Limited (“Recipient Company”);

6] Tata Steel Mining Limited (“TSML-Transmission Company”) to parent company Tata Steel Limited (“Transmission Company”); as well as

7] S&T Mining Company Limited ("S&T Mining-Transfer Company") to its parent company Tata Steel Limited ("Recipient Company").

Each scheme is subject to the approval of (a) the required majority of the shareholders of the respective ceding and receiving companies; (b) the Competent Authority (as defined in each of the Schemes), (c) SEBI (d) the National Stock Exchange of India Limited and BSE Limited (collectively, the "Stock Exchanges"); and (e) such other regulatory and other statutory or government/quasi-judicial approvals, permits and sanctions as may be required under applicable law.
